Qualifying Conditions

To claim BADR, all of the following must apply for at least 2 years prior to disposal:

  • You own at least 5% of the ordinary shares
  • You hold at least 5% of voting rights
  • The company is a trading company (not investment)
  • You are an employee or officer of the company
  • You have held shares for at least 2 years
  • Disposal is of all or part of your business
  • Lifetime gains eligible for BADR: £1 million

BADR can also apply to the disposal of assets used in a partnership or sole trade business.
